Terms of Service

Welcome to Prepify! These Terms of Service ("Terms") govern your access to and use of Prepify's website, services, and applications (collectively, the "Service") located at prepify.uz. By accessing or using our Service, you agree to be bound by these Terms.

Please read these Terms carefully before using our Service. If you do not agree to these Terms, you may not access or use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you are agreeing to these Terms for that organization and representing that you have the authority to bind that organization to these Terms.

2. Eligibility

You must be at least 13 years old to use our Service. By using the Service, you represent and warrant that:

• You are at least 13 years of age
• If you are under 18 years of age (or the age of majority in your jurisdiction), your parent or legal guardian has read and accepted these Terms on your behalf and consents to your use of the Service, including to your purchases and to the processing of your data
• You have the legal capacity to enter into these Terms
• You will use the Service in compliance with these Terms and all applicable laws
• All information you provide is accurate, current, and complete, and the email address you register is one you control
• You have not previously been suspended or removed from the Service

We do not verify age or guardian consent. If we learn that an account was created in breach of this section, we may suspend or delete it. Parents and legal guardians are responsible for the activity and purchases made by minors under their supervision.

3. User Accounts

3.1 Account Creation

To access certain features of the Service, you must create an account. You may create an account by:

• Registering with your email address and password
• Using Google OAuth 2.0 authentication

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including if we believe you have violated these Terms.

4. Use of Service

4.1 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use for IELTS and CEFR exam preparation purposes.

4.2 Prohibited Activities

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Copy, modify, distribute, sell, or lease any part of our Service
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Share your account credentials with others
• Use automated tools (bots, scrapers, etc.) to access the Service
• Attempt to gain unauthorized access to any part of the Service or other users' accounts
• Upload or transmit viruses, malware, or any other malicious code
• Harass, abuse, or harm other users
• Impersonate any person or entity
• Interfere with or disrupt the Service or servers
• Use the Service to distribute spam or unsolicited messages
• Reproduce, redistribute, or commercially exploit the IELTS or CEFR practice materials, including by recording, screenshotting, or transcribing them for distribution or resale
• Circumvent or attempt to circumvent access controls, subscription gating, AI charge limits, or test-integrity restrictions (see Section 6.3)
• Create multiple or fake accounts, or otherwise manipulate the referral program, leaderboards, or scores
• Submit work that is not your own, or use third-party or AI assistance to produce Writing or Speaking submissions
• Use the Service to train, fine-tune, or benchmark any machine learning model, or to systematically extract our content or questions
• Resell, sublicense, or provide access to the Service to third parties, including operating a course or class on a single account

5. Content and Intellectual Property

5.1 Our Content

All content on the Service, including but not limited to text, graphics, logos, practice tests, exercises, questions, answers, software, and other materials (collectively, "Content") is owned by Prepify or our licensors and is protected by copyright, trademark, and other intellectual property laws.

5.2 Your Content

You retain ownership of any content you submit, post, or upload to the Service, including essays and audio recordings ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, transmit, and process your User Content — including transmitting it to third-party AI providers for evaluation — solely for the purpose of operating, securing, and improving the Service.

You represent and warrant that your User Content is your own original work, that you have all rights necessary to submit it, and that it does not infringe any third party's rights, violate any law, or contain unlawful, defamatory, or abusive material. You are solely responsible for your User Content, and we do not pre-screen it. We may remove User Content and invalidate associated attempts where we reasonably believe it breaches these Terms, without notice.

Do not include personal, confidential, or sensitive information about yourself or others in your submissions.

5.3 Feedback

If you provide us with any feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without any obligation to you.

6. IELTS and CEFR Practice Materials

Our Service provides IELTS and CEFR practice materials for educational purposes. Please note:

• Practice materials are designed to simulate real IELTS and CEFR test conditions but are not official IELTS or CEFR tests
• Your performance on our practice tests does not guarantee any specific result on the actual IELTS or CEFR exam
• Scores and feedback for Writing and Speaking tasks may be generated by automated and AI-based evaluation, are provided for practice purposes only, and may not match official examiner judgments
• We are not affiliated with, endorsed by, or sponsored by the official IELTS or CEFR testing organizations
• IELTS is a registered trademark of the University of Cambridge, the British Council, and IDP Education Australia. CEFR (Common European Framework of Reference for Languages) is a standard developed by the Council of Europe. These marks are used solely to describe the exams our materials prepare you for (nominative fair use)

6.1 AI-Generated Scores and Feedback

Writing and Speaking submissions are evaluated using automated and artificial intelligence systems, including third-party AI providers. You expressly acknowledge and agree that:

• AI-generated scores, band estimates, corrections, and feedback are indicative and for practice purposes only. They are not an official assessment, certification, or prediction of your result on a real exam, and have no official standing with any examining body
• AI output may be inaccurate, inconsistent between attempts, incomplete, or wrong, and may differ materially from the judgment of a qualified human examiner
• You must not rely on AI-generated output as the sole basis for any decision, including decisions about whether to register for, pay for, or sit an official exam, or any academic, immigration, employment, or financial decision. We accept no liability for any such decision or its consequences
• We do not guarantee that any submission will be successfully processed; evaluation may fail or be delayed due to audio quality, network conditions, or third-party provider outages

If you believe a score is clearly wrong, you may request a human review by contacting us at the email address in Section 16. We will review it in good faith, but the outcome of that review is at our reasonable discretion and does not entitle you to a refund except as set out in Section 7.4.

6.2 Microphone and Recording

Speaking tasks require microphone access, which your browser will request from you. You are responsible for ensuring you have the right to record in your environment and that no third party is recorded without their knowledge and consent. Recordings are held in your browser until you submit them; we are not responsible for recordings lost because you cleared your browser data, closed the tab before submitting, changed device, or experienced a device or browser failure. You must not submit audio containing unlawful, abusive, or third-party copyrighted content.

6.3 Test Integrity

To keep scores meaningful, the Service may restrict certain actions during tests, such as copying and pasting into answer fields. You agree that all work you submit is your own and that you will not use third-party assistance, automated tools, or AI generators to produce submissions, nor attempt to circumvent these restrictions, extract answer keys, or manipulate scores. We may invalidate affected attempts and scores, remove entries from leaderboards, and suspend or terminate accounts where we reasonably suspect a breach of this section, without refund.

6.4 Leaderboards

The Service includes public leaderboards. By completing tests, you agree that your full name and score may be displayed to other signed-in users, as described in our Privacy Policy. You may ask us to remove your name from the leaderboards at any time by contacting us. Rankings are provided for motivation only, carry no prize or guarantee unless we expressly state otherwise in writing, and may be recalculated or corrected at any time.

6.5 Games and Supplementary Features

The Service includes games and other supplementary features offered for practice and entertainment. They are provided "as is", involve no wager, prize, or monetary value, do not constitute gambling, and may be modified or removed at any time. Scores and progress in these features carry no entitlement of any kind.

7. Payment and Subscription

7.1 Free and Paid Services

We offer both free and paid subscription plans. Paid plans may be purchased per exam (IELTS or CEFR), per skill (such as Reading, Listening, Writing, or Speaking), or as a full bundle, for fixed periods (for example, 1, 2, or 4 months). The features, skills, duration, and price of each plan are clearly described on our pricing page at the time of purchase. All prices are shown in the currency indicated at checkout (Uzbek som, UZS, unless stated otherwise) and include any applicable taxes unless noted.

7.2 Manual Payment and Order Approval

Payment is currently handled manually. When you place an order, the Service creates a pending order with an order number and the amount due. To complete your purchase you must pay by the method indicated to you and then send confirmation of your payment — typically a screenshot of your receipt together with your order number — to our administrator via Telegram. Access to the purchased skills is granted only after our administrator has verified and approved your order.

You acknowledge and agree that:

• Creating an order does not by itself grant access; approval is a separate manual step and is not instantaneous. Approval normally occurs within a reasonable period during business hours, but we do not guarantee any specific turnaround time
• A pending order may expire or be cancelled if payment confirmation is not received
• You are responsible for sending accurate payment confirmation, including the correct order number. We are not liable for delays or failure to grant access caused by incorrect, incomplete, illegible, or missing confirmation from you
• You must pay only through the channels we officially indicate. We are not responsible for funds sent to any account, card, wallet, or person that we have not officially designated, including as a result of fraud, impersonation, or messages from anyone claiming to represent us
• We will never ask you for your full card number, CVV/CVC, PIN, or one-time banking passwords. Never send them to anyone claiming to be us
• Telegram is a third-party service we do not control, and its availability and security are subject to its own terms

We may introduce automated payment providers (such as Payme, Click, or Uzum) in the future. If we do, your payment details will be handled directly by that provider under its own terms and privacy policy, and we will not collect or store your full card or bank details.

7.3 Billing and Term

If you purchase a paid subscription:

• You agree to pay all fees associated with your subscription at the price shown at checkout
• Access to paid features is granted for the fixed period you selected and ends when that period expires
• We reserve the right to change pricing for future purchases; any price change will not affect a subscription you have already paid for

7.4 Refunds

Subscriptions give access to digital content that is delivered immediately upon approval of your order. By purchasing and requesting immediate access, you agree that performance begins at once. Accordingly, and to the maximum extent permitted by the legislation of the Republic of Uzbekistan, including the Law "On Protection of Consumer Rights", payments for digital content already made available to you are non-refundable — including for unused time, partially used periods, skills you chose not to use, or a change of mind.

Nothing in this section limits rights you have under mandatory provisions of applicable law. In particular, we will refund you where:

• You were charged in error or charged twice for the same order
• You paid for an order that we did not approve and did not grant access for
• We are unable to provide the purchased skill for the paid period for reasons attributable to us
• A refund is otherwise required by applicable law

To request a refund, contact us at the email address in Section 16 with your order number within 10 (ten) calendar days of the charge. We will review your request and, where a refund is due, process it within the timeframes required by applicable law using the same method of payment where reasonably possible. Refunds are not available for accounts terminated due to your breach of these Terms, including fraud or abuse of the referral program.

7.5 AI Charges and Fair Use

AI-graded skills (Writing and Speaking) are subject to usage limits, referred to as "charges". Each AI skill has a limited number of charges per exam, which replenish over time; the applicable limits and replenishment rate are displayed in the Service. A charge is consumed when you start or submit an AI-graded attempt, as indicated in the Service at that time.

A paid subscription grants access to a skill for the purchased period, subject to these charge limits — it does not entitle you to unlimited AI evaluations. We may adjust charge limits and replenishment rates to keep the Service sustainable and to prevent abuse. Where such a change materially reduces what you paid for during an active paid period, we will apply it only from your next purchase. Charges have no cash value and are not refundable or transferable.

7.6 Referral Program and Discounts

We may offer a referral program and discounts, including discount percentage earned by referring other students or by registering through an instructor's or partner's invite link. Where you accumulate the full discount threshold indicated in the Service, you may claim a free subscription, which grants Reading and Listening for one exam of your choice, for a limited period. AI-graded skills (Writing and Speaking) are never included in free or referral-based claims, because they carry a direct cost to us for each use.

Discounts and referral rewards are subject to the conditions described in the Service at the time of the claim, have no cash value, are non-transferable, and cannot be exchanged, combined, or redeemed for money. We reserve the right to modify, suspend, or end the referral program, to change the thresholds and rewards, and to withhold or revoke rewards and suspend accounts where we reasonably suspect fraud or abuse — including self-referral, creating duplicate or fake accounts, using disposable or automated email addresses, or any attempt to manipulate referral counts.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Guarantees that the Service will be uninterrupted, error-free, or secure
• Guarantees regarding the accuracy, reliability, or completeness of content
• Guarantees that your use of the Service will result in any specific IELTS, CEFR, or other exam score
• Guarantees regarding the accuracy, consistency, or reliability of automated or AI-generated scores and feedback
• Guarantees that submissions, recordings, or in-progress attempts will be preserved, delivered, or successfully processed

We do not warrant that the Service will meet your requirements, that it will be available at any particular time, or that any errors will be corrected. The Service is an independent practice tool; it is not a substitute for official preparation courses or official examination services.

Some jurisdictions do not allow the exclusion of certain warranties. In such cases, the above exclusions apply to the fullest extent permitted by applicable law, and any statutory warranty that cannot be excluded is limited in duration to the shortest period permitted by law.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PREPIFY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Loss of or damage to property
• Any damages arising from your use of, or inability to use, the Service, including downtime, data loss, or loss of an unsubmitted attempt
• Any decision you make in reliance on AI-generated scores or feedback, including your result on, or your decision to sit or not sit, an official exam
• Any act or omission of a third party, including AI evaluation providers, hosting and analytics providers, Telegram, instructors, referrers, or other users
• Any loss arising from payments sent to accounts or persons not officially designated by us

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. If you have paid us nothing, our total liability to you shall not exceed the equivalent of 100,000 (one hundred thousand) Uzbek som.

Nothing in these Terms excludes or limits our liability where such exclusion or limitation is prohibited by the mandatory provisions of applicable law, including liability for death or personal injury caused by our negligence, for intentional misconduct, or for gross negligence. These limitations apply even if a limited remedy is found to have failed of its essential purpose, and they reflect an agreed allocation of risk that forms the basis of the pricing of the Service.

10. Indemnification

You agree to indemnify, defend, and hold harmless Prepify and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your User Content

11. Third-Party Services

Our Service may integrate with third-party services, including Google OAuth 2.0 for authentication. Your use of these third-party services is subject to their respective terms and conditions and privacy policies. We are not responsible for the practices or content of third-party services.

12. Modifications to Service and Terms

We reserve the right to:

• Modify, suspend, or discontinue the Service (or any part thereof) at any time
• Update these Terms at any time by posting the revised Terms on the Service
• Change or discontinue any feature or functionality of the Service

Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. We will notify you of material changes via email or through the Service.

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including:

• Violation of these Terms
• Fraudulent or illegal activity
• Request by law enforcement or government agencies
• Discontinuation or material modification of the Service

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, limitations of liability, indemnification, and governing law.

Effect on paid periods. If we terminate or suspend your account because you breached these Terms — including cheating, referral fraud, credential sharing, or unlawful use — you forfeit any remaining paid period and are not entitled to a refund. If we terminate your account for reasons unrelated to your breach, or permanently discontinue the Service, we will refund the pro-rata portion of any unused paid period as your sole and exclusive remedy.

Your right to terminate. You may stop using the Service and request deletion of your account at any time by contacting us at the email address in Section 16. Deleting your account does not automatically refund any remaining paid period, which is governed by Section 7.4.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Uzbekistan, without regard to its conflict of law provisions.

Pre-litigation procedure. Before commencing any formal proceedings, you agree to first contact us at the email address in Section 16 and describe your claim, so that we may attempt to resolve it in good faith. We will respond within 30 (thirty) calendar days of receiving your claim. Most issues can be resolved this way.

If the dispute is not resolved through this procedure, it shall be settled by the competent courts of the Republic of Uzbekistan in accordance with applicable law. Nothing in this section deprives you of the right to bring a claim before the courts of your place of residence where such a right is granted to you by the mandatory provisions of consumer protection legislation.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Prepify regarding the Service.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

15.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

15.5 Force Majeure

We are not liable for any failure or delay in performing our obligations where that failure or delay results from circumstances beyond our reasonable control, including acts of God, natural disasters, epidemics, war, civil unrest, acts of government or regulators, changes in law, strikes, failures or interruptions of electricity, internet, telecommunications or hosting infrastructure, failures or discontinuation of third-party services (including AI evaluation providers, Telegram, and payment channels), cyberattacks, or denial-of-service attacks.

15.6 Service Availability and Maintenance

The Service is provided without any guaranteed level of availability. We may perform maintenance, updates, or changes that temporarily interrupt access, and we will make reasonable efforts to schedule planned maintenance so as to minimize disruption. Temporary interruptions do not entitle you to a refund or extension, except where an interruption is prolonged and attributable to us, in which case we may at our discretion extend your paid period by a comparable duration.

15.7 Language

These Terms may be made available in several languages. In the event of any discrepancy or conflict between versions, the version in the state language of the Republic of Uzbekistan shall prevail where required by applicable law; otherwise the English version shall prevail.

15.8 Electronic Communications

By using the Service, you consent to receive communications from us electronically, including by email and through notices posted in the Service. You agree that all agreements, notices, and other communications we provide electronically satisfy any legal requirement that such communications be in writing. It is your responsibility to keep your email address current and to check it.
