Welcome to Prepify! These Terms of Service ("Terms") govern your access to and use of Prepify's website, services, and applications (collectively, the "Service") located at prepify.uz. By accessing or using our Service, you agree to be bound by these Terms.

Please read these Terms carefully before using our Service. If you do not agree to these Terms, you may not access or use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you are agreeing to these Terms for that organization and representing that you have the authority to bind that organization to these Terms.

2. Eligibility

You must be at least 13 years old to use our Service. By using the Service, you represent and warrant that:

• You are at least 13 years of age
• You have the legal capacity to enter into these Terms
• You will use the Service in compliance with these Terms and all applicable laws
• All information you provide is accurate, current, and complete

3. User Accounts

3.1 Account Creation

To access certain features of the Service, you must create an account. You may create an account by:

• Registering with your email address and password
• Using Google OAuth 2.0 authentication

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including if we believe you have violated these Terms.

4. Use of Service

4.1 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use for IELTS and CEFR exam preparation purposes.

4.2 Prohibited Activities

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Copy, modify, distribute, sell, or lease any part of our Service
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Share your account credentials with others
• Use automated tools (bots, scrapers, etc.) to access the Service
• Attempt to gain unauthorized access to any part of the Service or other users' accounts
• Upload or transmit viruses, malware, or any other malicious code
• Harass, abuse, or harm other users
• Impersonate any person or entity
• Interfere with or disrupt the Service or servers
• Use the Service to distribute spam or unsolicited messages
• Reproduce, redistribute, or commercially exploit the IELTS or CEFR practice materials

5. Content and Intellectual Property

5.1 Our Content

All content on the Service, including but not limited to text, graphics, logos, practice tests, exercises, questions, answers, software, and other materials (collectively, "Content") is owned by Prepify or our licensors and is protected by copyright, trademark, and other intellectual property laws.

5.2 Your Content

You retain ownership of any content you submit, post, or upload to the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content solely for the purpose of operating and improving the Service.

5.3 Feedback

If you provide us with any feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without any obligation to you.

6. IELTS and CEFR Practice Materials

Our Service provides IELTS and CEFR practice materials for educational purposes. Please note:

• Practice materials are designed to simulate real IELTS and CEFR test conditions but are not official IELTS or CEFR tests
• Your performance on our practice tests does not guarantee any specific result on the actual IELTS or CEFR exam
• Scores and feedback for Writing and Speaking tasks may be generated by automated and AI-based evaluation, are provided for practice purposes only, and may not match official examiner judgments
• We are not affiliated with, endorsed by, or sponsored by the official IELTS or CEFR testing organizations
• IELTS is a registered trademark of the University of Cambridge, the British Council, and IDP Education Australia. CEFR (Common European Framework of Reference for Languages) is a standard developed by the Council of Europe

7. Payment and Subscription

7.1 Free and Paid Services

We offer both free and paid subscription plans. Paid plans may be purchased per exam (IELTS or CEFR), per skill (such as Reading, Listening, Writing, or Speaking), or as a full bundle, for fixed periods (for example, 1, 2, or 4 months). The features, skills, duration, and price of each plan are clearly described on our pricing page at the time of purchase. All prices are shown in the currency indicated at checkout (Uzbek som, UZS, unless stated otherwise) and include any applicable taxes unless noted.

7.2 Payment Processing

Payments are processed by third-party payment providers (such as Payme, Click, and Uzum). By making a purchase, you agree to the terms and conditions of the relevant payment provider. We do not collect or store your full card or bank details. You are responsible for ensuring that the payment details you use are valid and that you are authorized to use them.

7.3 Billing and Term

If you purchase a paid subscription:

• You agree to pay all fees associated with your subscription at the price shown at checkout
• Access to paid features is granted for the fixed period you selected and ends when that period expires
• We reserve the right to change pricing for future purchases; any price change will not affect a subscription you have already paid for

7.4 No Refunds

Subscriptions provide immediate access to digital content and services. All payments are final and non-refundable, including for unused time, partially used periods, or features you choose not to use, except where a refund is required by applicable law. If you believe you were charged in error, please contact us at the email address in Section 16.

7.5 Referral Program and Discounts

We may offer a referral program and discounts, including discounts earned by referring other students or by registering through an instructor's or partner's invite link. Discounts and referral rewards are subject to the conditions described in the Service, have no cash value, are non-transferable, and cannot be exchanged for money. We reserve the right to modify, suspend, or end the referral program, or to withhold rewards in the case of fraud or abuse, at any time.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Guarantees that the Service will be uninterrupted, error-free, or secure
• Guarantees regarding the accuracy, reliability, or completeness of content
• Guarantees that your use of the Service will result in any specific IELTS score

We do not warrant that the Service will meet your requirements or that any errors will be corrected.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PREPIFY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Loss of or damage to property
• Any damages arising from your use or inability to use the Service

Our total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

10. Indemnification

You agree to indemnify, defend, and hold harmless Prepify and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your User Content

11. Third-Party Services

Our Service may integrate with third-party services, including Google OAuth 2.0 for authentication. Your use of these third-party services is subject to their respective terms and conditions and privacy policies. We are not responsible for the practices or content of third-party services.

12. Modifications to Service and Terms

We reserve the right to:

• Modify, suspend, or discontinue the Service (or any part thereof) at any time
• Update these Terms at any time by posting the revised Terms on the Service
• Change or discontinue any feature or functionality of the Service

Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. We will notify you of material changes via email or through the Service.

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including:

• Violation of these Terms
• Fraudulent or illegal activity
• Request by law enforcement or government agencies
• Discontinuation or material modification of the Service

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Uzbekistan, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the laws of Uzbekistan, except that you may assert claims in small claims court if your claims qualify.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Prepify regarding the Service.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

15.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
